Section 1.2 — Legal Operator ZYON TV PMA is operated and administered by Aspyn Holdings LLC, a limited liability company organized in Wyoming. Aspyn Holdings LLC is the legal contracting entity responsible for membership administration, service-provider relationships, billing, and member support. Section 1.3 — Organizational Character ZYON TV PMA operates through voluntary contractual membership. Unless separately organized under applicable law, ZYON TV PMA is not a legal entity distinct from Aspyn Holdings LLC. Membership does not convey ownership, equity, voting rights, or beneficial interests in Aspyn Holdings LLC or its affiliated organizations. Section 1.4 — Voluntary Participation Participation in ZYON TV PMA is voluntary. Prospective members may review the applicable membership terms and disclosures before submitting an application. ARTICLE II — ASSOCIATION PURPOSE Section 2.1 — Principal Purpose ZYON TV PMA facilitates access to authorized digital media services, technology resources, educational materials, and related member benefits through contractual arrangements with qualified service providers. Section 2.2 — Authorized Activities Association activities may include: a. IPTV and digital media subscription access. b. Member account administration. c. Technical support. d. Digital technology education. e. Instructional video resources. f. Online membership services. g. Additional authorized membership benefits. Section 2.3 — Service Providers Digital media services may be supplied through independent third-party providers. Service availability, programming, device compatibility, and permitted use remain subject to the applicable service agreements. ARTICLE III — MEMBERSHIP CLASSIFICATION Section 3.1 — Standard Membership ZYON TV PMA initially offers one principal membership classification: STANDARD MEDIA MEMBERSHIP Section 3.2 — Included Benefits Standard membership includes: the IPTV connection allowance disclosed for the selected plan. Access to the designated membership portal. Membership account administration. Access to available member support resources. Access to available instructional materials. Eligibility to obtain additional authorized television seats. Section 3.3 — Additional Benefits Additional membership benefits may be introduced through published schedules. No additional included membership benefit shall be imposed upon a Member without the authorization required by applicable law. ARTICLE IV — MEMBERSHIP CONTRIBUTIONS Section 4.1 — Standard Monthly Contribution The standard monthly membership contribution is: The applicable contribution and included connections are disclosed for the selected ZYON TV membership plan before acceptance. IPTV is included at no additional charge. Section 4.3 — Contribution Schedule Additional authorized seats may be available subject to provider limitations. Section 4.4 — Applicable Taxes Applicable taxes, if any, shall be disclosed before contribution. Section 4.5 — Contribution Frequency Membership contributions are billed monthly in advance. Recurring contributions require affirmative authorization. ARTICLE V — IPTV SERVICE DISCLOSURE Section 5.1 — Authorized Programming IPTV access is provided through contracted service providers authorized to supply the applicable programming and services. Section 5.2 — Television Seat A television seat means one service entitlement as defined by the applicable provider. A television seat does not necessarily authorize unlimited devices or simultaneous streams. Section 5.3 — Device Compatibility Members are responsible for maintaining compatible devices and internet connectivity. Supported devices and technical requirements shall be identified in the applicable service information. Section 5.4 — Programming Availability Programming packages and availability may change due to provider agreements, licensing restrictions, technical conditions, or other legitimate circumstances. Material changes shall be handled in accordance with the Membership Agreement and applicable law. Section 5.5 — Authorized Use Members may not resell, retransmit, publicly exhibit, or otherwise redistribute programming without appropriate authorization. ARTICLE VI — MEMBERSHIP TERM Section 6.1 — Monthly Membership Membership operates on a month-to-month basis. Section 6.2 — Renewal Membership renews monthly only where the Member has affirmatively authorized recurring billing. Section 6.3 — Cancellation Members may cancel through the designated membership portal or published support procedure. Section 6.4 — Cancellation Effective Date Unless otherwise required by applicable law, cancellation becomes effective at the end of the current contribution period. Section 6.5 — Refunds Refunds and service credits are governed by the published Refund & Cancellation Policy and applicable law. ARTICLE VII — MEMBER SUPPORT Section 7.1 — Support Resources ZYON TV PMA may provide support through: a. Online membership systems. b. Email. c. Automated assistance. d. AI-assisted support. e. Human support personnel. Section 7.2 — AI Disclosure Members may interact with automated or AI-assisted support systems. Members may request human review of unresolved billing disputes, material account issues, and significant service complaints. ARTICLE VIII — PRIVACY AND SECURITY Section 8.1 — Information Collection The Administrator collects information reasonably necessary for membership enrollment, billing, service delivery, and support. Section 8.2 — Privacy Policy Information practices are described in the published Privacy Policy. Section 8.3 — Contribution Security Contribution transactions are processed through designated contribution systems. Section 8.4 — Member Responsibilities Members are responsible for maintaining the confidentiality of their account credentials. ARTICLE IX — MEMBER DOCUMENTS Prospective members may review the following documents before enrollment: Private Membership Agreement. Membership Benefit & Contribution Schedule. Privacy Policy. Acceptable Use Policy. Refund & Cancellation Policy. Recurring contribution authorization and electronic communications consent are presented during enrollment. Copies of accepted agreements and authorizations shall be made available to members. ARTICLE X — IMPORTANT DISCLOSURES Section 10.1 — Contractual Membership Membership establishes a contractual relationship with Aspyn Holdings LLC. Section 10.2 — No Ownership Interest Membership does not establish ownership of Association or Company assets. Section 10.3 — Applicable Law The private contractual nature of membership does not eliminate applicable legal requirements or nonwaivable consumer rights. Section 10.4 — Service Limitations Membership benefits are limited to those expressly identified in the applicable membership documents and service descriptions.
