Membership Benefits and Contribution Schedule

ZYON TV is a private membership program administered by Aspyn Holdings LLC. Membership contributions support participation; IPTV is an included membership benefit at no additional charge. NEXATV PRIVATE MEDIA AND TECHNOLOGY ASSOCIATION DOCUMENT 04 — MEMBERSHIP BENEFIT & CONTRIBUTION SCHEDULE Schedule A to the Private Membership Agreement Effective Date: [TO BE ADOPTED] Version: NTV-PMA-DRAFT-2026-10-16-v1 Administrator: Aspyn Holdings LLC ARTICLE I — PURPOSE 1.1 — Establishment This Membership Benefit & Contribution Schedule establishes the membership classifications, available benefits, contribution amounts, and applicable conditions for participation in the ZYON TV Private Media and Technology Association (“ZYON TV PMA” or “Association”). 1.2 — Incorporation This Schedule is incorporated into the Private Membership Agreement between the participating Member and Aspyn Holdings LLC. 1.3 — Controlling Agreement In the event of a conflict between this Schedule and the Private Membership Agreement, the Membership Agreement shall control unless this Schedule expressly identifies an authorized amendment accepted by the Member. ARTICLE II — STANDARD MEMBERSHIP 2.1 — Membership Classification The Association shall initially offer one principal membership classification: STANDARD MEDIA MEMBERSHIP 2.2 — Monthly Contribution The standard monthly membership contribution shall be: The applicable contribution and included connections are disclosed for the selected ZYON TV membership plan before acceptance. IPTV is included at no additional charge. 2.3 — Included Benefits Standard Media Membership includes: a. the IPTV connection allowance disclosed for the selected plan. b. Access to the Association’s designated membership portal. c. Electronic membership account administration. d. Access to available technical support resources. e. Access to available instructional videos and digital educational materials. f. Eligibility to obtain additional authorized television seats. g. Access to additional membership benefits expressly designated by the Administrator. 2.4 — Service Limitations IPTV programming, device compatibility, geographic availability, and simultaneous-stream permissions remain subject to the applicable provider agreement and published service specifications. ARTICLE III — ADDITIONAL TELEVISION SEATS 3.1 — Additional Seat Contribution Each additional authorized IPTV television seat shall require a monthly contribution of: The applicable contribution and included connections are disclosed for the selected ZYON TV membership plan before acceptance. IPTV is included at no additional charge. 3.3 — Contribution Table 3.4 — Seat Authorization Additional seats shall be provisioned only where permitted by the Association’s contracted provider. 3.5 — Seat Activation Additional seats may be activated following Member authorization and successful contribution of applicable charges. 3.6 — Seat Removal Members may request removal of additional seats through the membership portal or designated support channel. Unless otherwise required by applicable law, removal becomes effective at the end of the current contribution period. ARTICLE IV — BILLING 4.1 — Billing Frequency Membership contributions shall be billed monthly in advance. 4.2 — Recurring Contributions Recurring billing shall require affirmative Member authorization. 4.3 — Billing Date The Member’s billing date shall ordinarily correspond to the date of initial membership activation unless otherwise disclosed. 4.4 — Taxes Applicable taxes, if any, shall be separately disclosed before contribution. 4.5 — Failed Contributions If a contribution fails, the Administrator may notify the Member and provide a reasonable opportunity to update the contribution method. Service suspension for noncontribution shall be governed by the Membership Agreement and applicable law. ARTICLE V — MODIFICATIONS 5.1 — Contribution Changes The Administrator may modify future contribution amounts upon at least thirty (30) days’ advance notice, subject to applicable law. 5.2 — Benefit Changes Material changes to membership benefits shall be communicated in advance when reasonably practicable. 5.3 — Member Rights Members retain applicable cancellation and refund rights arising from material changes. ARTICLE VI — ADOPTION This Schedule is adopted as an official membership document of the ZYON TV Private Media and Technology Association.
